Terms & Conditions for Workshops

1. Definitions

In these Terms & Conditions:

  • “Workshop” means the training session, seminar, course or event provided by The Thought Collective (“we”, “us”, “our”).

  • “Delegate” means the person registered for, or attending, a Workshop.

  • “Booking” means the registration of a Delegate for a Workshop and the payment of any applicable fee.

  • “Client” means the organisation on whose behalf a Delegate is booked (if any).

  • “Fees” means the registration fee (and any applicable taxes) for the Workshop.

  • “Agreement” means the contract between us and the Client/Delegate formed by acceptance of these Terms & Conditions together with registration and payment.

2. Booking & Payment

  • Your Booking is not confirmed until we have received full payment of the Fees (or, if we agree, a deposit) and you have accepted these Terms & Conditions.

  • Payment may be made by credit/debit card or other method as specified by us.

  • If credit terms are agreed, full payment of our invoice must be made by the due date. Responsibility for payment lies with the person who made the Booking, whatever the name of the organisation appearing on the invoice.

  • Where your organisation will be paying on your behalf, it is your responsibility to ensure that is done in time. Unpaid accounts may be passed to a debt-collection agency and any associated costs will be added to the outstanding amount.

3. Workshop Delivery

  • We will use reasonable care and skill in delivering the Workshop.

  • Workshops are subject to availability of the presenter, venue, equipment and minimum numbers.

  • We reserve the right to cancel, postpone or change the date, time, venue or presenter of a Workshop. If we do so, our liability is limited as set out in clause 8 below.

4. Delegate Substitutions

  • If you are unable to attend, you may nominate a substitute delegate at no extra cost, provided you give us reasonable notice in writing.

  • Any substitution is subject to our agreement and must be made in writing.

5. Cancellation by the Delegate or Client

  • All cancellations must be made in writing to marcia@thoughtcollective.co.nz

  • Cancellation policy:

    • Up to 5 business days prior to the Workshop date: refund of registration fee, less a NZ$20 service charge.

    • Within 5 business days of the Workshop date: no refund is available.

  • In the case of private or in-house Workshops the following apply:

    • Deposit payments are non-refundable.

    • If cancellation is made up to 10 business days of the Workshop date, a further charge may apply (for example for preparation time or travel/bookings).

    • If cancellation is made within 10 business days of the Workshop date, no refund is available.

  • Even if payment has not been received at the time of cancellation, the Client/Delegate remains liable to pay the Fees in full.

  • In the event of cancellation by us under clause 3, we will either offer a full refund of the Fees or a credit towards a future Workshop (to be used within 6 months of the cancelled date. We accept no liability for other costs incurred by Delegates (e.g., travel, accommodation).

6. Use of Personal Information

  • By registering for a Workshop, you consent to us using your personal information to communicate about the Workshop and other training opportunities, unless you advise us otherwise.

  • We will not share your personal information with third parties without your consent except as required by law or to facilitate the Workshop.

  • Our privacy practices are set out in our Privacy Policy.

7. Intellectual Property & Materials

  • All Workshop materials (handouts, worksheets, slides, recordings) are the copyright of The Thought Collective or the presenter, unless otherwise stated.

  • You may use these materials for your personal organisational purposes only. You may not reproduce, modify, distribute or commercially exploit them without our prior written consent.

8. Limitation of Liability

  • To the extent permitted by law, we will not be liable for any indirect or consequential loss, damage, cost or expense arising out of any Workshop or services provided.

  • Our total liability arising under or in connection with the Workshop (including any refund of Fees) will not exceed the amount of the Fees paid by the Delegate.

  • Nothing in this clause excludes or limits any statutory rights you may have under the Consumer Guarantees Act 1993 (see clause 9).

9. Consumer Guarantees & Fair Trading

  • If you are acquiring the Workshop service for personal, domestic or household use, the guarantees under the Consumer Guarantees Act 1993 (CGA) apply. These include guarantees that the service is carried out with reasonable care and skill, is fit for purpose, and is completed within a reasonable time.

  • You may not contract out of the protections the CGA gives you, unless you enter into a written agreement with us and meet the requirements of the CGA (which applies mainly to business transactions).

  • We must ensure our Terms do not include unfair contract terms in consumer transactions (under the Fair Trading Act 1986).

  • Where the Workshop is acquired for business/commercial use (and you are in trade), it may be possible to contract out of some CGA provisions, but this must be in writing and fair and reasonable.

10. Booking Confirmation & Pre-Workshop Obligations

  • You are responsible for verifying the Workshop details (date, time, location, access information) in your confirmation.

  • We reserve the right to refuse admission if any outstanding payment is not received by the time of the Workshop.

  • If you fail to attend or arrive late and thereby miss parts of the Workshop, you will not be entitled to any refund or make-up session, unless otherwise agreed.

11. Changes to Fees & Schedules

  • We may revise Workshop fees, scheduling or content from time to time. Registrants will be notified of any fee changes affecting them where required.

  • A revision of fees or change in schedule will not affect confirmed bookings except as advised in writing by us.

12. Intellectual Property & Recording

  • Unless otherwise agreed in writing, Delegates may not record (audio or video) the Workshop or distribute any portion of it.

  • We reserve the right to record a Workshop for our own use; by attending you grant us a licence to use any recording in which you appear, in any media.

13. Force Majeure & Venue Disruption

  • We are not liable for any failure or delay in delivering a Workshop due to an event outside our reasonable control (including but not limited to fire, flood, earthquake, pandemic, strike, government action, interruption of telecommunications or power). Under such circumstances we will attempt to reschedule the Workshop or issue a credit/refund in our discretion.

14. Governing Law & Jurisdiction

  • These Terms & Conditions are governed by the laws of New Zealand.

  • Any dispute arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of New Zealand unless otherwise agreed in writing.

15. Entire Agreement

  • These Terms & Conditions, together with our Workshop registration confirmation, constitute the entire agreement between you (the Delegate/Client) and us in respect of the Workshop, and supersede any prior agreement or representation.

  • Any variation to these Terms must be in writing and signed by an authorised representative of The Thought Collective.
